General terms and conditions for public events

Eventerprise BV

Article 1 Definitions

Eventerprise BV, with registered office in Amsterdam and place of business at Strandgaperweg 20, 8256 PZ Biddinghuizen (KvK number: 56395450).

Visitor: the natural person who has purchased and/or holds an admission ticket for an event organized by Eventerprise BV and thereby has the right of access to this event;

Agreement: the agreement concluded between Eventerprise BV and Visitor

(Public) Event: event organized by Eventerprise BV;

Entrance ticket: a document and/or barcode issued by Eventerprise BV (or on the instructions of Eventerprise BV by an external ticket company) which grants access to – and entitles the holder to attend – the

Event;

Venue: the place where the Event is held, including all grounds, access roads, spaces and fields surrounding it;

Public: all spectators, listeners and/or third parties present at the Event.

Article 2 Applicability of conditions

2.1 These general terms and conditions are applicable to all offers and all Agreements, including all services, acts, deliveries and activities of Eventerprise BV in connection with the Event.

2.2 These general terms and conditions also apply to the Agreement if it is concluded by means of – and/or the Visitor purchases an admission ticket via – an official sales or advance sales organization engaged by Eventerprise BV.

2.3 The applicability of general terms and conditions of Visitors is expressly rejected unless Eventerprise has agreed to this in writing.

2.4 Deviations from these general terms and conditions are only binding if and insofar as Eventreprise BV has expressly agreed to them in writing. A deviation expressly accepted in writing by Eventerprise BV shall only apply to the agreement in respect of which Eventerprise BV has accepted the deviation.

Article 3 Realization of agreements

3.1 The Agreement is concluded at the moment that Visitor purchases and/or orders an Admission Ticket for the Event, regardless of the advance sales address and/or at the moment that Visitor obtains an Admission Ticket by other means.

Article 4 Admission Ticket

4.1 The Admission Ticket is and shall at all times remain the property of Eventerprise BV.

4.2 The Admission Ticket is issued once and gives access to the Event to one person.

4.3 The Admission Ticket is strictly personal and only grants access to the person presenting the Admission Ticket for the first time at the start and/or entrance of the Event.

4.4 The Admission Ticket grants admission to the Event to Visitors older than 18 (in words: eighteen) years of age, unless agreed otherwise.

4.5 From the moment the Admission Ticket is issued to Visitor, the risk of loss, theft, damage and misuse rests with Visitor.

4.6 Eventerprise BV only guarantees the validity of an Entrance Ticket if it has been purchased and/or ordered from an official sales address or advance sales address recognized by Eventerprise BV. The burden of proof in this respect rests with the Visitor.

4.7 Eventerprise BV reserves the right to place a maximum on the number of Admission Tickets to be reserved – whether or not – per person.

4.8 A group reservation cannot be cancelled after the reservation has been signed. Reducing the number of guests can be done in writing up to no later than 10 calendar days before event, if the total change does not exceed 10% of the original number. Reduction of the number of guests after this date will not result in a refund of the entrance fee.

4.9 Start times, as mentioned on the Entrance Ticket, are subject to change.

Article 5 Prohibition of sale or resale

5.1 Visitors are not permitted to (re)sell an Admission Ticket to a third party and/or offer or (re)sell Admission Tickets to third parties with a commercial purpose other than with the written permission of Eventerprise BV.

5.2 If Eventerprise BV has sound reasons to believe that a Visitor is not the original buyer of the Entrance Ticket and/or the Entrance Ticket has been sold or resold and/or the Entrance Ticket has been forfeited, Eventerprise BV reserves the right to deny the relevant Visitor admission to the Event without being obliged to refund the entrance fee to the Visitor.

Article 6 Visitor’s obligations

6.1 A Visitor is obliged to comply with all safety rules that apply at the Location and to follow all instructions given by the personnel present, security, the fire department, the police and other authorised persons.

6.2 Visitor is obliged to cooperate with any searches at the entrance and during the Event.

6.3 A Visitor must be in possession of a valid and undamaged Admission Ticket, which Visitor must present at the entrance and/or during the Event at the first request of Eventerprise BV and/or personnel on Location.

6.4 Visitors are required to show valid proof of identity at the entrance and/or during the Event at the first request of Eventerprise BV and/or personnel at Location.

6.5 A Visitor is not permitted to bring professional recording equipment to the Event and/or to the Location. If Visitor brings professional recording equipment to the Event and/or the Location, Eventerprise BV is entitled to confiscate this equipment for the duration of the Event and to delete recordings already made. Unless otherwise agreed and communicated via the Event website.

6.6 The Visitor is not permitted to record/film the Event in its entirety and/or works performed in its entirety in any way whatsoever. If Visitor violates this then Eventerprise BV has the right to confiscate this registration/film and to destroy, use and/or exploit it at its own discretion. The recordings made by Visitor of part of the Event and/or part of works performed by means of non-professional recording equipment are strictly for personal use and may in no way be exploited and/or made public by Visitor.

6.7 Visitor is not permitted to bring food, drink, alcohol, drugs, pets or other animals, glassware, plastic, cans, fireworks, weapons, umbrellas, banners, flags, other dangerous objects and objects that cause noise nuisance to the Event and/or to the Location.

6.8 A Visitor is not permitted to harass and/or disturb other visitors and personnel present during the Event. Nor is Visitor permitted during the Event and/or at the Location to be in a state of public drunkenness and/or to urinate outside the public toilets intended for that purpose.

6.9 If a Visitor leaves the Location during the Event, the validity of the Admission Ticket will lapse.

Article 7 Rights of Eventerprise BV

7.1 Eventerprise BV reserves the right before and during the Event to deny a Visitor access to the Event and/or to remove a Visitor from the Event if Eventerprise BV considers this reasonably necessary for the maintenance of safety and public order.

7.2 If Visitor fails to comply with any obligation under the Agreement, Eventerprise BV is entitled to declare the Admission Ticket invalid and/or deny Visitor access to the Event and/or remove Visitor from the Event without being obliged to refund the entrance fee to Visitor.

7.3 Consumption vouchers and/or tokens purchased during the Event are only valid during the Event.

7.4 In the event of insufficient interest Eventerprise BV has the right to move or cancel the Event. If Eventerprise BV cancels the Event in the event of insufficient interest, Eventerprise BV shall be required to refund the entrance fee stated on the Admission Ticket to the Visitor, regardless of the price paid by the Visitor for the Admission Ticket. This right to restitution of Visitor exists for eight weeks counting from the date on which the cancelled Event would take place at a (pre)sales address after presentation of a valid, undamaged Entrance Ticket. Service charges are not included in this refund and will not be reimbursed. Visitor cannot claim substitute admission to another Event in this case, unless agreed upon in writing.

Article 8 Liability and indemnity

8.1 Attending the Event and/or entering the Location is expressly at the Visitor’s own risk, on the understanding that Eventerprise BV is not liable for hearing damage, sight damage/blindness, other physical injury and damage to goods, such as but not limited to clothing, whether or not inflicted by the Public.

8.2 Eventerprise BV is only liable for damage of Visitors which is the result of a shortcoming attributable to Eventerprise BV in the fulfilment of the Agreement.

8.3 The total liability of Eventerprise BV on account of an attributable shortcoming in the fulfilment of the Agreement is limited to compensation for direct damage, on the understanding that this liability is at all times limited to the amount that will be paid out under the legal liability insurance of Eventerprise BV.

8.4 Liability of Eventerprise BV for indirect damage, including consequential damage, loss of profit, lost savings and damage due to business interruption is excluded.

8.5 Condition for the existence of any right to compensation is always that the Customer reports the damage in writing to Eventerprise BV within 48 hours of its occurrence.

8.6 In the event that Eventerprise BV directly or indirectly engages subordinates of Eventerprise BV, non-subordinates, auxiliary persons and/or other persons in the execution of the Agreement, all liability of Eventerprise BV pursuant to sections 6:76, 6:170, 6:171 and 6:172 of the Dutch Civil Code shall be excluded and Eventerprise BV shall not be liable for damage caused by these persons, unless there is intent or gross negligence on the part of management of Eventerprise BV.

8.7 Eventerprise BV will strive to ensure that the Event is carried out as much as possible in accordance with the announced time schedule. Eventerprise BV is not liable for deviations therein and for any damage which may arise therefrom for the Visitor.

8.8 In the event that the Visitor purchases the admission ticket from a third party – not being Eventerprise BV – and this third party for whatever reason does not deliver the tickets to the Visitor, Eventerprise BV Group shall not be liable in any way whatsoever, neither for a refund of tickets already paid for by the Visitor nor for the delivery of a replacement ticket.

8.9 The Visitor shall indemnify Eventerprise BV against all claims by third parties in respect of damage for which the Visitor is liable to those third parties by law. The visitor shall compensate Eventerprise BV for any damage, including all legal costs incurred by Eventerprise BV, which may be the result of any claim by those third parties.

Article 9 Force majeure

9.1 In the event of force majeure Eventerprise BV shall be entitled to move or cancel the Event.

9. 2 Force majeure means: any circumstance beyond the control of Eventerprise BV as a result of which the fulfillment of obligations of Eventerprise BV towards Visitors is wholly or partially prevented or as a result of which fulfillment of obligations cannot reasonably be required of Eventerprise BV, such as but not limited to: non-attributable failure on the part of Eventerprise BV or persons used by Eventerprise BV in the execution of the Agreement, such as auxiliary persons and contractors of Eventerprise BV, strikes, lockouts, illness, transport problems, machinery breakdown, traffic disruptions, energy disruptions, delivery problems, changed regulations, government measures, terrorism (threat), death of a member of the Royal Family, non-fulfilment of obligations by suppliers of Eventerprise BV, disruptions in production, extreme weather conditions, frost, natural disasters, war and/or threat of war, disruptions in the regular supply of goods to be delivered by suppliers or third parties, as well as water and energy supplies and/or incapacity for work as a result of illness or accident of the Artist on the day of the performance and/or the event the death of a family member of the Artist; the temporary or permanent disintegration of the Artist or the Artist’s group; circumstances as a result of which the Artist cannot reach the place of performance on time (for example, in the event of extreme weather conditions, a traffic accident or traffic congestion) and/or as a result of which the Event cannot take place in a responsible manner.

9.3 If Eventerprise BV cancels the Event in the event of force majeure, then Eventerprise BV shall be obliged to refund to Visitor the admission price stated on the Admission Ticket, regardless of the price that Visitor has paid for the Admission Ticket. This right to restitution of Visitor exists for eight weeks counting from the date on which the cancelled Event would take place at a (pre)sales address after presentation of a valid, undamaged Entrance Ticket. Service charges are not included in this refund and will not be reimbursed. Visitor cannot in this case claim substitute admission to another event.

9.4 If Eventerprise BV moves the Event to another date in the event of force majeure, the Admission Ticket shall be valid for that new date. If Visitor is unable to attend on the new date, Visitor is entitled to request a refund of the Entrance Ticket. Eventerprise BV is in that case obliged to refund to Visitor the entrance fee stated on the Entrance Ticket, regardless of the price Visitor has paid for the Entrance Ticket. This right to restitution of Visitor exists for a period of four weeks counting from the date on which the cancelled Event would take place at a (pre-)sales address after presentation of a valid, undamaged Admission Ticket. Service charges are not included in this refund and will not be reimbursed. Visitor cannot claim substitute admission to another Event in this case.

Article 10 Penalty clause

Upon violation of any obligation of Visitor pursuant to the provisions of Article 5, Visitor shall owe Eventerprise BV, without notice of default being required, for each violation a voluntary fine in the amount of € 5,000.00 all at once and € 1,000.00 per (re)sold Entrance Ticket, without prejudice to any other rights accruing to Eventerprise BV such as the right to claim damages.

Article 11 Personal data

If Eventerprise BV processes personal data of Visitors then Eventerprise BV will do so in accordance with the Dutch General Data Protection Act (AVG).

Article 12 Nullity

The nullity of any provision of the Agreement does not affect the validity of the other provisions of the Agreement. In the event of nullity of any provision, the parties will conclude a further agreement in connection with the subject matter of the provision in question that approximates the intention of the parties as much as possible.

Article 13 Applicable law and competent court

The Agreement is exclusively governed by Dutch law. Unless provisions of mandatory law dictate otherwise, the District Court in Zwolle shall have jurisdiction in the first instance to adjudicate disputes arising from the Agreement, without prejudice to the Contractor’s right to sue the Client before a court with jurisdiction in another jurisdiction.
